Agreement of setting up

WEST AFRICANS TELECOMMUNICATIONS CONFERENCE
LOME JANUARY 27th 1997

 

Preamble

The telecommunication sector was at present confronted with profound technologic transformations, source of unprecedented diversification of networks and services: Those transformations had already and would continue to have important institutional and structural consequences during the coming year, on the traditional entities which are responsible for telecommunications management, in a contest of an unsettled worldwide economics exchanges° notably with the agreement of the OMC.

Faced with such previously unpublished disruptions which require appropriate innovators and pro-actifs solutions, Africa must find its landmarks, warn risks and take the opportunities for promoting its telecommunications network which remain a key factor for the growth of the competitiveness of the socio economics sectors.

Also, conscious of such exigencies and of the necessity to join their efforts in this sector which ignore the physical borders in a general contest where then globalization of services became the rule, the General Managers of The West Africans Telecommunications sector , met in December the 16th 1996 at Lome by showing to each State the grateful right to organize and to manage the sector in accordance with its own options, decided to create a definite surroundings of cooperation, of dialogue and exchanges of experiences, The West Africans Telecommunications Conference which the following test precise the objectives, the structure and the running.


CHAPTER l - Designation and Objectives

Article 1: Designation
The definite surroundings of cooperation is so called “West Africans Telecommunications Conference” and appointed the “Conference” below.


Article 2: Objectives
The Conference has the following objectives:

  • To assure, support and expand the cooperation, the coordination and dialogue between members, for question dealing with technical development of network to the commercial and technical management, to politics, to strategies and to the regulation of the sector;
  • Exchange experiences on organizational, operational and regulation of problems,
  • To valorize the regional assessment if necessary by changing the personal in the different specialties; answer to the new situations by dialogues, by an exchanges of information;
  • To exchange pertinent piece of information on the indicators and administrative, financial, technical and commercial management standards;
  • To coordinate if possible their participation to the activities of organizations and international organisms of telecommunications;
  • To favor the participation and the agreement of all the West African countries,
  • To growth and ameliorate the use of the region.

Article 6 : Lost of the members’ quality
The members’ quality disappears by resignation, the dissolution of the society, organization or institution of origin.

CHAPTER II - MEMBRES

Article 3: Statutory members
SThe statutory members of the conference are the General Managers or assimilated to the West African sector of telecommunications signatories of this present agreement or who are members in it (public network’s operators, regulation authorities, of politic in the sector).

Article 4: Observators
The conference can invite during its meetings physical or moral persons who have the qualities of resources person if their presence can facilitate the resolution of expected questions in the agenda.

CHAPTER III - STRUCTURE, ORGANIZATION AND RUNNING


Article 5 - Present management
The present management of the conference is assured by a President, Vice¬ President and a reporter elected among the statutory members. The President is the statutory representative of the conference beside ail external authorities as such to record the saisins concerning maters of common interest. He can take ail the initiative for a Common interest and let the other members know about the obtained result.

Article 6- Archives of the conference
A depository and a substitute depository of the various acts and archives are appointed among the members of the conference. The choice of this depository is definitive and the conditions of archives, the forms of consultation are defined by the policies and procedures

Article 7 - languages of working
The languages of working of the conference are English and French.

CHAPTER IV - POWER OF THE CONFERENCE


Article 8
Acts of the conferenceThe conference transmits whishes, recommendations and nonbinding opinions.

Article 9 - Decisions
ln exceptional cases, if the common interest requests it, the conference can take decisions with the modalities of application ordered by consensus.
Article 10 - Quorum
The conference justifiably can liberate when half of the members are present.

CHAPTER V - GOODS AND PROPERTIES OF THE CONFERENCE


Article 11 - Goods and Properties
The Goods and Properties of the conference are made up by ad hoc contributions, gifts, legacy and subsidies and by exceptional resources. The modalities of management of those Goods, Properties and their devolution in case of dissolution are précised in the policies and procedures.

CHAPTER VI - DISSOLUTION


Article 12 - Dissolution
While the existence of the conference is without interest for its members, its dissolution can be pronounced by consensus of the present members at the extraordinary session hold for this fact. The conditions of validity of the decision would be précised in the policies and procedures.

CHAPTER VII : LEGALITY AND DISPUTE


Article 13 - Legality
The legal copy of the present acts is established in six original copies in each language of working numbered and archived at the depository's house. ln case of difterent interpretation of the document, the version in the conception and original drafting language serve as reference. Article 14 - Dispute
Ali disputes from the present application will be the subject of an amicable setting or failing that by arbitration.

CHAPTER VIII - MODIFICATION AND COMING INTO FORCE


Article 15 - Modification
The present agreement can be modified by the conference in a vote of the 2/3 of statutory members met in session. However, ail proposition of modification should be expressly subscribed to the agenda and the amendment test passed on to the members at least six month before they ho Id the session at which, it is submissive for. detail examination.


Article 16 - coming into force
The present agreement comes into force after its adoption by the session of the conference convened for this fact and after signature at least of third of the members present at the meeting the fine and the adoption session is joined to the present agreement.
